- 1. Plaintiff Meridian Analytics, Inc. (“Meridian”) brings this action to recover license fees its former reseller collected and kept, to stop the use of forecasting models taken from it, and to hold its former director accountable for turning Meridian’s own customer pipeline against it.
- 2. Meridian is a Delaware corporation with its principal place of business at 1600 Wynkoop Street, Denver, Colorado.
- 3. Defendant Halvorsen Data Partners, LLC (“Halvorsen”) is an Illinois limited liability company with its principal place of business in Chicago, Illinois.
- 4. Defendant Tobias Kane is an individual residing in Illinois. Kane is Halvorsen’s founder and chief executive officer and was, from June 12, 2024 to January 9, 2026, a member of Meridian’s Board of Directors.
- 5. Defendant Rennick Ventures, LLC (“Rennick”) is a Colorado limited liability company formed on August 11, 2025. Kane is its organizer and managing member.
- 6. This Court has subject-matter jurisdiction under 28 U.S.C. § 1331 because Count 2 arises under the Defend Trade Secrets Act, 18 U.S.C. § 1836, and supplemental jurisdiction over the remaining claims under 28 U.S.C. § 1367.
- 7. Venue is proper in this District because a substantial part of the events giving rise to the claims occurred here, Meridian’s model repository is operated here, and Rennick resides here.
- 8. Meridian develops and licenses Tempo, a demand-forecasting platform used by freight, grocery and pharmaceutical distributors to plan inventory and capacity.
- 9. Tempo’s value lies in its trained forecasting models, including a seasonality and holiday adjustment layer developed over six years from Meridian’s proprietary training pipeline.
- 10. On March 18, 2024, Meridian and Halvorsen entered into a Reseller and Implementation Agreement (the “Agreement”) under which Halvorsen resold and implemented Tempo for customers in an agreed territory.
